1. Introduction
These Terms of Service (“Terms”) govern your use of Seamlss software and services (“Services”) provided by Seamlss Ezy Onboard Pty Ltd (“Seamlss,” “we,” “our,” or “us”). By using our Services, you agree to these Terms. If you do not agree with these Terms, you must not use our Services.
2. Definitions
- Account: The registered profile allowing access to the Services.
- Client Requests: The digital forms or information requests sent to end-clients via Seamlss.
- SMS Credits: The number of text messages included with your plan for client reminders and notifications.
- Fast-Track Offer: The Xerocon-specific bundle including setup and first-year subscription.
- User: Any person authorised to access and use the Services under your account.
3. Services Provided
Seamlss provides client onboarding, document collection, verification, and workflow management tools designed for accounting and professional services firms. Service inclusions are outlined in our pricing plans available at https://seamlss.com.au.
4. Accounts and Access
- You must provide accurate information when registering.
- You are responsible for maintaining the confidentiality of your login credentials.
- You remain responsible for all activities occurring under your account.
5. Subscription and Pricing
- Subscriptions are billed annually unless otherwise agreed in writing.
- Each plan includes a defined number of Client Requests and SMS Credits per month.
- If usage exceeds plan limits, Seamlss may automatically upgrade your plan to the next tier and charge the applicable annual fee.
- Prices are listed in AUD and exclude GST unless stated otherwise.
6. Fair Use Policy
- Excessive or abusive use beyond normal business purposes may result in throttling, suspension, or required plan upgrades.
- Unused Client Requests or SMS Credits do not roll over.
7. Payment Terms
- Invoices are due upon receipt unless otherwise specified.
- Annual subscriptions and setup fees are non-refundable once onboarding has commenced.
- Late payments may result in suspension of Services or incur interest charges.
8. Renewals and Cancellations
- Subscriptions automatically renew at the then-current pricing unless cancelled at least 30 days before renewal.
- Cancellations must be submitted in writing to [email protected].
9. Intellectual Property
- All intellectual property rights in the Services, templates, designs, and related content remain the sole property of Seamlss.
- You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes.
- You must not copy, modify, resell, or create derivative works from the Services.
10. Data Protection & Privacy
- Seamlss complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
- Customers are responsible for ensuring their use of the Services complies with legal and professional obligations, including TASA.
- Seamlss processes client data on your behalf and may use third-party providers (e.g. Stripe for payments, SMS gateways for messaging).
- Clients remain the controllers of their own data.
11. Service Availability
- While Seamlss endeavours to maintain high uptime, we do not guarantee uninterrupted or error-free service.
- Temporary outages may occur due to maintenance, technical issues, or third-party service interruptions.
12. Support and Onboarding
- Standard support is provided via email.
- Premium support, extended training, or custom services may be subject to additional charges.
- Fast-Track setup includes one 1-hour training session; further sessions may be billed separately.
13. Prohibited Use
You must not use the Services to:
- Upload unlawful or infringing content.
- Attempt to circumvent security measures.
- Share access with unauthorised parties.
- Resell or sub-license the Services.
14. Third-Party Services
- Seamlss integrates with third-party providers (e.g. Stripe, XPM, SMS providers).
- We are not liable for disruptions or failures in these external services.
15. Limitation of Liability
- Services are provided “as is” without warranties of any kind.
- To the maximum extent permitted by law, Seamlss shall not be liable for indirect, incidental, or consequential damages.
- Total liability is limited to the fees paid in the 12 months preceding the claim.
16. Indemnity
You agree to indemnify and hold harmless Seamlss against any claims, damages, or losses arising from:
- Your misuse of the Services.
- Breaches of law or professional obligations.
- Any third-party claims related to your data or usage.
17. Termination
- We may suspend or terminate access if you breach these Terms, fail to pay, or misuse the Services.
- Upon termination, all licences immediately cease.
18. Force Majeure
Seamlss is not liable for delays or failures caused by events outside our control, including natural disasters, internet outages, or third-party service interruptions.
19. Governing Law & Dispute Resolution
- These Terms are governed by the laws of Victoria, Australia.
- Parties agree to attempt mediation in good faith before commencing court proceedings.
- You submit to the exclusive jurisdiction of the courts of Victoria.
20. General Provisions
- Severability: If any clause is found unenforceable, the remainder remains valid.
- Waiver: Failure to enforce a right does not constitute waiver of that right.
- Assignment: Seamlss may assign these Terms; you may not without our consent.
- Entire Agreement: These Terms constitute the full agreement between the parties.
21. Xerocon 2025 Fast-Track Offer – Additional Terms
The following apply only to purchases at Xerocon 2025:
- Offer Scope: One-time upfront payment covers Fast-Track setup plus first 12 months subscription.
- Plan Inclusions:
- Essential : 100 requests + 100 SMS/month
- Premium: 150 requests + 150 SMS/month
- Power: 200 requests + 200 SMS/month
- Any further upgrades as required
- Upgrades: Exceeding plan limits triggers automatic upgrade to the next tier, invoiced at the applicable annual rate.
- Renewals: After the first year, subscriptions renew at standard pricing unless cancelled with 30 days’ notice.
- Non-Refundable: Payments are non-refundable once onboarding begins.
- Start Date: Onboarding commences from 8 September 2025.
- Expiry: Offer valid until 6:00 pm AEST, Friday 5 September 2025.
